Acceptance of Terms

1. ShipEase, Inc. (“ShipEase,” “we,” or “our”) provides its Services (as defined below or in an ancillary agreement) to you (“you,” “your” or “Merchant”) through its website located at ShipEase.com (“Site”), subject to these Terms of Service (“Agreement”). In addition, when using certain services, you will be subject to the policies (“Policies”) and fee schedule (“Fee Schedule”) that govern the operation of such services which are posted on the Site or are readily made available to registered users of the Service. All such Policies and Fee Schedule are hereby incorporated by reference.
2. By accepting this Agreement, by accessing or using the Services, or clicking through on our Site, you acknowledge that you have read, understood, have the authority to, and agree to be bound by this Agreement. The terms of your Order shall not modify this Agreement. If you are an individual, you certify that you are eighteen (18) years of age or older. If you are entering into this Agreement on behalf of a customer, business, or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this Agreement, in which case the terms “you,” “your” or “Merchant” shall also refer to such entity and its affiliates. If you do not have such authority, or if you do not agree to be bound by this Agreement, you must not accept this Agreement and may not use the Services.
3. We may change or revise this Agreement at our discretion. If any change or revision to this Agreement is not acceptable to you, your only remedy is to stop using the Services and send a cancellation email to support@ShipEase.com. Otherwise, you will be bound by the changed or revised terms. ShipEase may change or revise this Agreement from time to time by providing ten (10) days prior notice either by emailing the email address associated with your account, by posting a notice on the Site, or by providing notice on the ShipEase Platform (as defined below) (“Notice”). You can review the most current version of this Agreement at any time at https://www.ShipEase.com/terms-of-service/, the Policies are posted at https://support.ShipEase.com/en/ and the Fee Schedule is available at https://support.ShipEase.com/en/collections/2273486-pricing-billing. Your use of the Services ten (10) days after Notice shall constitute full acceptance of the revised or changed terms.

Registration

1. You must register for the Services. As part of the registration process, you will identify an administrative username and password for your account (“Account”). You may use the administrative username and password to create standard users (each with a user password).
2. Description of Services.
   • The ShipEase “Services” include: (a) providing technology solutions to support the receipt, counting, storage, picking and packaging (“fulfillment”) of physical goods sold by you (the “Goods”) pursuant to your order (“Order”) by ShipEase or by independent third-party warehouses using the ShipEase’s proprietary Warehouse Management System (“WMS”) and referred to as ShipEase Fulfillment Network Providers (“SFN Providers”); (b) providing technology solutions to support the shipment of the Goods by independent third-party carriers (each, a “Carrier”); (c) access to ShipEase’s proprietary platform and associated technology, in object code format only, which is made available by ShipEase to you, for purposes of managing Goods, submitting Orders for Goods and fulfilling Orders (the “ShipEase Platform”); and (d) all data, reports, text, images, sounds, video, and content, including any offline reports, pricing matrices, or other content, made available to you through any of the foregoing (collectively referred to as the “Content”), including, in each case, all modifications and updates.
   • We may separately enter into a Warehousing and Fulfillment Pricing Agreement (“Fulfillment Agreement”) with you, which may modify the terms of the Services. If we do so, the terms of the Fulfillment Agreement shall take precedence over any conflicting terms of this Agreement. The terms of any Fulfillment Agreement are incorporated into this Agreement by reference. In our sole discretion, we also may provide you additional Services as set forth in the Excel and Bulk Upload and Promotional/Volume Spikes Agreement (“Volume Agreement”). If we do provide these additional Services, the terms of the Volume Agreement shall be incorporated into this Agreement. The terms of the Volume Agreement shall take precedence over any conflicting terms in this Agreement.

Description of Services.

The terms of any Fulfillment Agreement are incorporated into this Agreement by reference. In our sole discretion, we also may provide you additional Services as set forth in the Excel and Bulk Upload and Promotional/Volume Spikes Agreement (“Volume Agreement”). If we do provide these additional Services, the terms of the Volume Agreement shall be incorporated into this Agreement. The terms of the Volume Agreement shall take precedence over any conflicting terms in this Agreement.
